1. Overview

Definition of TWAICY Platform Ecosystem & Agreement Scope

TWAICY provides an enterprise multi-tenant Commerce Operating System (OS) designed to empower local merchants and digital brands to launch, manage, and scale online retail operations with 100% data sovereignty.

By registering a store workspace, accessing the merchant dashboard, creating a storefront, or consuming TWAICY APIs, you agree to be bound by these Terms of Service.

Inventory Ledgers

Order management, invoice generation, and status tracking workflows.

Direct Payment Gateway

QR payment verification software and Razorpay API integration.

Shipping & Courier APIs

Shiprocket integration, AWB label creation, and delivery tracking.

Merchant Dashboard

Unified workspace dashboard for store analytics, staff, and catalog settings.

2. Acceptance of Terms

Binding Legal Agreement & Privacy Policy Reference

By completing account registration, launching a storefront, or using any software component provided by TWAICY, merchants express full legal agreement to these Terms of Service. If you are entering into this agreement on behalf of a company or legal entity, you represent that you possess the legal authority to bind such entity.

Our data protection safeguards and information handling procedures are documented separately in the TWAICY Privacy Policy. Merchants must read and understand the Privacy Policy alongside these Terms.

3. Merchant Eligibility

Business Authority & Local Law Compliance Requirements

Accurate Business Data

Merchants must register using truthful business identifiers, valid email addresses, phone numbers, and optional GST numbers.

Legal Authority

Account creators must be at least 18 years of age and possess full legal capacity to enter into commercial software contracts.

Local Law Compliance

Merchants must operate in full compliance with local municipal, state, national, and trade regulation laws.

4. Merchant Accounts & Credential Security

Merchant Responsibilities for Workspace Integrity

Store owners hold primary administrative authority over their store workspace and are accountable for maintaining workspace integrity:

Password & Credentials Security

Maintaining strong passphrases and protecting JWT login tokens from unauthorized exposure.

Store Configuration & Settings

Configuring store domain rules, shipping zones, tax rates, and checkout parameters.

Staff & Employee Access Roles

Assigning Granular Role-Based Access Control (RBAC) permissions to store staff members.

API Key Management

Safeguarding integration API credentials for Shiprocket, Razorpay, and third-party webhooks.

QR Payment Verification

Ensuring accuracy of bank UPI QR codes uploaded for customer direct transfers.

Business Identity Information

Keeping store address, contact details, and invoice GST headers up to date.

5. Subscriptions & Billing Framework

Flat SaaS Pricing, Zero Platform Commissions & Direct Revenue Ownership

TWAICY operates under a transparent software-as-a-service subscription model.

Zero Platform Commissions: TWAICY takes 0% percentage cut on your store sales. You retain 100% of your gross sales revenue.
Direct Payment Settlement: Customer payments flow directly into the merchant's bank account or payment gateway. TWAICY never holds money in central platform escrow.

Subscription Lifecycle Rules:

  • •Billing Cycles & Renewals: Subscriptions renew automatically on a monthly or annual basis unless cancelled prior to the renewal date.
  • •Plan Upgrades & Downgrades: Upgrading applies immediate pro-rated charges. Downgrades take effect at the next renewal cycle.
  • •Cancellation: Merchants can cancel subscriptions anytime from the Billing Dashboard with zero cancellation penalties.
  • •Taxation (GST): Applicable GST or sales taxes are itemized clearly on official monthly subscription invoices.

6. Merchant Operational Responsibilities

Store Operations, Buyer Service & Tax Compliance

As an independent business operating on TWAICY, merchants are solely responsible for managing their customer relationships and store operations:

Accurate Product Listings

Maintaining correct product titles, specifications, stock counts, and images.

Honest Pricing & Discounts

Ensuring displayed prices, MRPs, and promotional coupon codes are accurate.

Legal Product Compliance

Selling goods permitted under local laws without violating safety or trade standards.

Store Customer Support

Handling buyer queries, order status inquiries, and store complaints promptly.

Order Dispatch & Fulfillment

Packing, shipping, and fulfilling confirmed orders within promised timeframes.

GST & Tax Compliance

Issuing statutory tax invoices and remitting applicable local GST/sales taxes.

7. Store Content & Media Rights

Content Ownership & Merchant Publishing Accountability

Merchants retain exclusive ownership over all content, trade assets, and product media uploaded to their store workspace:

Product Media & Gallery
Images, banners, and video assets
Brand Identity & Trademarks
Store logos, slogans, and trade names
Categories & Collections
Custom taxonomies and descriptions

Note: Merchants represent and warrant that uploaded product images and description copy do not infringe third-party copyrights, trademarks, or proprietary rights.

8. Orders & Direct Payments Workflow

Order Lifecycle, Direct Bank Payouts & QR Verification Responsibility

Standard Order Lifecycle:

STEP 1
Customer Checkout
Buyer places order on storefront with delivery details.
STEP 2
Merchant Confirmation
Merchant reviews stock ledger and confirms order.
STEP 3
Direct Bank Payout
Funds transfer directly into merchant bank account.
QR Payment Verification

UPI QR transfers occur directly between the buyer's banking app and the merchant's UPI VPA. Merchants are responsible for verifying transaction IDs prior to dispatch.

Payment Gateway Tokenization

Integrated gateways (e.g. Razorpay) process card & netbanking transactions on PCI-DSS Level 1 compliant infrastructure directly into merchant accounts.

9. Website Builder & Storefront Customization

No-Code Canvas Builder Rights & Publishing Standards

TWAICY equips merchants with a visual drag-and-drop website builder to customize themes, layout sections, headers, and navigation trees.

Custom Pages

Create landing pages, about pages, FAQs, and custom forms.

Theme Palette

Customize primary brand colors, typography, and button styles.

Section Components

Configure heroes, product carousels, grids, and banners.

Custom Domains

Bind custom SSL domain names to your published storefront.

10. Prohibited Activities & Abuse Enforcement

Zero-Tolerance Policies Safeguarding Ecosystem Integrity

The following activities are strictly prohibited on all TWAICY storefronts, API endpoints, and merchant workspaces. Engagement in any prohibited activity will result in immediate account suspension and law enforcement escalation:

Illegal & Prescription-Only Goods

Selling illicit drugs, illegal substances, unregulated pharmaceuticals, or counterfeit brand items.

Phishing & Deceptive Impersonation

Creating fake storefronts disguised as official banking portals or stealing customer login passcodes.

Weapons, Explosives & Hazardous Goods

Listing firearms, explosives, hazardous chemicals, or restricted combat items.

Fraudulent Financial Schemes

Running Ponzi operations, fake lotteries, unauthorized credit card harvesting, or money laundering.

Malware, Viruses & Scraping Bots

Injecting malicious JavaScript, trojans, backdoors, or automated scraping tools into platform APIs.

Copyright & Trademark Infringement

Uploading pirated software, counterfeit luxury goods, or unauthorized media assets.

Spam & Automated Messaging Abuse

Sending unsolicited spam messages, harassment, or fake promotional broadcasts to buyers.

Abusive Behavior & Hate Speech

Publishing content promoting violence, discrimination, harassment, or hate speech.

11. Intellectual Property Boundaries

Clear Partitioning Between Platform IP & Merchant Intellectual Property

TWAICY Intellectual Property

TWAICY retains exclusive ownership over all platform software, source code, database architecture, Next.js/NestJS UI components, trade secrets, system APIs, and platform documentation.

Merchant Intellectual Property

Merchants retain exclusive ownership over store branding, logos, product catalogs, trade media, pricing strategies, customer database records, and storefront copy.

12. Service Availability & Maintenance

Uptime SLA, Scheduled Maintenance Windows & Security Patches

We strive to maintain 99.9% platform availability across all edge nodes. Periodic system updates are executed under the following maintenance guidelines:

Scheduled Maintenance

Executed during low-traffic off-peak hours with advance dashboard notice whenever possible.

Zero-Downtime Security Patches

Applied seamlessly via Cloudflare edge routing without interrupting active store sessions.

Continuous Enhancements

Regular feature rollouts and website builder updates deployed transparently in the background.

13. Account Suspension & Investigation

Grounds for Store Workspace Suspension

TWAICY reserves the right to suspend store workspace access during security investigations under the following conditions:

Suspension Triggers:
  • Proven engagement in fraudulent store activities or buyer scams.
  • Listing products violating local commercial laws or copyright trademarks.
  • Repeated violation of Acceptable Use Policies despite security desk warnings.
  • Severe non-payment or chargeback fraud on subscription billing accounts.

14. Account Termination & Data Export

Voluntary Store Closure

Merchants may close their store workspace account anytime directly from the Account Settings dashboard.

Full CSV/JSON Data Export

Prior to account closure, merchants can download complete CSV/JSON backups of product catalogs, order history, and customer records.

15. Limitation of Liability

Software Provider Boundaries & Merchant Operational Indemnity

TWAICY acts strictly as a commerce software infrastructure engine. Merchants remain sole operational directors of their retail businesses:

• Product Quality & SafetyGoods sold and manufacturer warranties.
• Store Pricing & DiscountsCatalog pricing and checkout discounts.
• Statutory GST & Tax FilingsCalculating and remitting tax returns.
• Shipping & Delivery LogisticsFulfilling orders within customer SLAs.
• Customer Support & RefundsResolving buyer disputes and returns.
• Legal License ComplianceHolding necessary commercial licenses.

16. Warranty Disclaimer

Software Provision Warranty & Third-Party Service Dependencies

The TWAICY Commerce OS software platform is provided on an "as available" basis. While we commit to maintaining enterprise-grade uptime and rolling backup security, TWAICY disclaims express or implied warranties regarding temporary third-party infrastructure outages beyond our reasonable control (such as regional ISP cuts or courier API disruptions).

17. Revisions & Version Control

Terms Revision Notification Commitment & History Log

We may update these Terms of Service to incorporate new feature capabilities, legal requirements, or platform policies.

14-Day Advance Revision Notice

When material updates are made to these Terms, merchants will be notified via email and dashboard banner alerts at least 14 days prior to the effective date. Complete version history logs are archived for merchant review.
